we are also in a similar situation and what I've found out this far is that although the content of the IV will be migrated, IV 4 is not 100% backwards compatible => functionalities (if any) and page properties (including EPiServer content) will need to be "rewritten". This also means that content editorial work may be needed.

Also the whole IV architecture seems to have changed so depending on the solution there might be considerable amount of installation and configuration changes coming.

So these are something to keep in mind when planning such upgrade.
